Acceptance

By accessing or using Saku (“the Service”), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

Use of the Service

Saku provides project management tools including boards, cards, time tracking, and team collaboration. You must use the Service in compliance with applicable law and these terms. You are responsible for maintaining the confidentiality of your account and for all activity under your account.

Accounts and teams

You may create an account and, where applicable, teams and boards. You must provide accurate information. You are responsible for managing access within your team (invitations, roles, and removal). We may suspend or terminate accounts that violate these terms or for operational or legal reasons.

Payment and subscription

Paid plans are billed in accordance with the plan you select (e.g. monthly or annually). Fees are non-refundable except where required by law or as stated in our refund policy. We may change fees on reasonable notice; continued use after a change constitutes acceptance. Payment processing is handled by our payment provider; their terms also apply to payment transactions.

Your content and intellectual property

You retain ownership of content you upload or create in the Service (“Your Content”). You grant us a limited licence to host, store, process, and display Your Content as necessary to provide and improve the Service. We do not claim ownership of Your Content. You represent that you have the rights to provide Your Content and that it does not infringe third-party rights. Our names, logos, and the Service’s look and feel remain our intellectual property.

Acceptable use

You must not use the Service to violate any law, infringe others’ rights, distribute malware, spam, or harmful content, or attempt to gain unauthorised access to our or others’ systems or data. We may remove content and suspend or terminate accounts that breach acceptable use.

Disclaimers

The Service is provided “as is”. We do not warrant that it will be uninterrupted, error-free, or fit for a particular purpose. We disclaim implied warranties to the fullest extent permitted by law. You use the Service at your own risk.

Limitation of liability

To the maximum extent permitted by law, we (and our affiliates, directors, employees, and suppliers) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability for any claims arising from these terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim (or, if no fee was paid, €100). Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.

Indemnity

You agree to indemnify and hold us harmless from any claims, damages, losses, or costs (including reasonable legal fees) arising from your use of the Service, Your Content, or your breach of these terms.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access with or without notice for breach of these terms or for operational or legal reasons. On termination, your right to use the Service ceases; we may delete or retain your data in accordance with our Privacy Policy and applicable law.

Changes to these terms

We may update these terms from time to time. We will post the updated terms on this page and update the “Last updated” date. Material changes may be communicated by email or in-product notice. Continued use of the Service after changes constitutes acceptance. If you do not agree, you must stop using the Service.

Governing law

These terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ireland. If any provision is held invalid, the remaining provisions remain in effect.
